Terms of engagement & £25,000 guarantee

Draft for legal review | Business clients only | 26 October 2026
1. The service
The 2027 Agency Accelerator is a business-to-business property consultancy service for independent estate agencies. It includes a pre-visit review of client information, one on-site consultancy day, identification and documentation of at least three actionable commercial opportunities, a written 30-day action plan, 30 days of unlimited WhatsApp questions relating to that plan (responses during reasonable working hours), and follow-up video calls during that period arranged by mutual availability.
2. Fees and booking
The professional fee is £995 plus VAT at the prevailing rate (£1,194 including VAT at 20%). Appointment date, location, payment timing and any travel or accommodation charges must be agreed in writing before payment. A place is confirmed only once accepted and confirmed in writing.
3. The £25,000 financial opportunity guarantee
Following review of information reasonably available, Dominic Murphy will identify and evidence at least £25,000 of credible potential financial improvements, calculated on an annualised basis. Three or more identified opportunities may collectively meet the threshold: each individual opportunity does not need to be worth £25,000. This is a guarantee of identified financial opportunities, not actual realised cash savings, increased turnover or profits.
4. What counts as an evidenced opportunity
An opportunity must describe a specific change reasonably open to the agency, supported by available agency figures or relevant records, a transparent calculation and stated assumptions. Examples include reducing avoidable costs, higher realised average fees, improved valuation conversion, improved sales progression, additional managed lettings income and improved productive capacity. Estimates will account for relevant implementation costs, realistic conversion or completion assumptions and dependencies. Benefits will not be double-counted. Gross revenue and net profit will be distinguished.
5. Client cooperation
The client must provide reasonably requested accurate information and suitable access to relevant staff, systems and processes, subject to confidentiality and data-protection requirements. Where material information is unavailable or unreliable, this will be recorded and a sensible alternative basis agreed. Unsupported assumptions will not be presented as established facts.
6. Report and action plan
The written report will document at least three priority opportunities, their calculations and assumptions, together with a 30-day action plan. This written report is the basis on which the £25,000 threshold is assessed. The service is not a substitute for specialist legal, tax, accounting or regulated financial advice.
7. The refund process
If the written report does not identify and evidence a combined £25,000 of credible annualised potential improvements, the client may request a refund within 30 calendar days of receiving the report, explaining which calculations or evidence do not support the threshold. Dominic will consider the request in good faith, clarify or correct demonstrable errors promptly, and refund the full £995 professional fee plus VAT within 14 calendar days where the guarantee has not been met. This guarantee does not restrict any other legal remedy.
8. Responsibility for implementation
Dominic provides the investigation, analysis and recommendations. The agency decides whether, when and how to implement them and is responsible for its own staffing, operations, expenditure, decisions and results. The consultancy does not guarantee that projected improvements will actually be achieved. Failure by the client to implement recommendations does not itself trigger a refund where the evidenced-opportunity guarantee has been met.
9. Support boundaries
Unlimited WhatsApp means no cap on reasonable questions relating to the agreed 30-day implementation plan within the 30-day support period; it does not require 24/7 responses or additional projects free of charge. Video calls will be arranged in good faith by mutual availability during that period. Material additional work requires separate agreement.
10. Confidentiality and information handling
Both parties will keep non-public business information confidential except with permission, to provide the service or as required by law. Personal data will be handled under applicable law and the privacy notice. Any access to client/customer/employee personal data must be shared securely and appropriately.
11. Standard of care and liability
Dominic will exercise reasonable care and skill. Forecast outcomes depend on assumptions and decisions outside the consultant's control. Nothing excludes liability for fraud, death or personal injury caused by negligence, or other liability which cannot legally be excluded. Any additional limitation of liability would need separate legal review and express agreement.
12. Governing law and agreement
These draft terms are intended for business clients in England and Wales and governed by the law of England and Wales, subject to legal review. Material variations in scope, fee, date or guarantee must be agreed in writing before engagement.
Before accepting payments: confirm the legal contracting entity, registered address, booking/cancellation terms, travel charges and data-sharing arrangements. These terms should be reviewed by a solicitor before publication or use as a binding agreement.
